End-User License Agreement (EULA)

Note: Apportunity UG (haftungsbeschränkt) i. G. is currently in formation (“in Gründung”). While this EULA is effective, the company is not yet fully registered in the German Commercial Register. Official registration details (HRB number) and VAT ID will be provided once available.

This End-User License Agreement (“EULA”) is a legal agreement between you (“User” or “You”) and Apportunity UG (haftungsbeschränkt) i. G. (“Apportunity,” “We,” or “Us”) regarding your use of software plugins (“Software”) distributed via the Atlassian Marketplace. By installing, accessing, or using the Software, you agree to be bound by this EULA.

1. License Grant

Apportunity grants you a non-exclusive, non-transferable, revocable license to use the Software strictly in accordance with the terms of this EULA and the purchase or subscription agreement via the Atlassian Marketplace.

  • The license does not confer ownership of the Software or any intellectual property rights.
  • The license is limited to the Atlassian product(s) for which it was purchased.

2. Restrictions

You may not:

  • Copy, modify, distribute, sublicense, or make the Software available to third parties.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except where mandatory law allows.
  • Use the Software in violation of applicable laws or regulations.
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices.

Violation of these restrictions will terminate this EULA immediately, and you may be liable for damages.

3. Ownership

  • The Software and all related intellectual property rights remain sole property of Apportunity or its licensors.
  • You acquire no ownership rights, only a limited license to use the Software under this EULA.

4. Updates, Maintenance, and Support

  • Apportunity may provide updates, patches, or new versions at its discretion via Atlassian Marketplace.
  • There is no obligation for Apportunity to provide support, maintenance, or updates until registration is complete.
  • Apportunity reserves the right to suspend or modify the Software at any time.

5. Termination

  • This EULA is effective until terminated.
  • Your license automatically terminates if you breach any term of this EULA.
  • Upon termination, you must immediately cease all use and delete all copies of the Software.

6. Warranty Disclaimer

  • The Software is provided “as is” without any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
  • Apportunity makes no representations that the Software will meet your requirements, be uninterrupted, error-free, or secure.
  • Due to the “in Gründung” status, availability of certain services or support may be limited.

7. Limitation of Liability

  • To the fullest extent permitted by law, Apportunity shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption.
  • Apportunity’s total liability for any claims shall not exceed the amount paid by you for the Software via Atlassian Marketplace.
  • This limitation applies even if Apportunity has been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Apportunity, its directors, officers, and employees from any claims, damages, or expenses arising from:

  • Your use of the Software;
  • Your violation of this EULA or applicable laws;
  • Any claims by third parties related to your actions while using the Software.

9. Force Majeure

Apportunity shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, or technical failures.

10. Data Privacy

  • Use of the Software may involve processing of personal data. Any collection, storage, or processing is governed by Apportunity’s Privacy Policy and applicable GDPR laws.
  • By using the Software, you consent to such processing.

11. Governing Law and Jurisdiction

  • This EULA is governed by the laws of the Federal Republic of Germany, without regard to conflict-of-law principles.
  • Disputes shall be submitted to the exclusive jurisdiction of the courts in Stuttgart, Germany.

12. Miscellaneous

  • If any provision of this EULA is invalid or unenforceable, the remaining provisions remain in full force.
  • This EULA represents the entire agreement between you and Apportunity regarding the Software.
  • Any amendments must be in writing and agreed by Apportunity.
